TransDigm to Buy Jet Parts Engineering and Victor Sierra Aviation

The two businesses will cost TransDigm approximately $2.2 billion

TransDigm Group announced on Friday, Jan. 16, 2026, that it would buy Jet Parts Engineering and Victor Sierra Aviation Holdings from Vance Street Capital for about $2.2 billion in cash, including tax benefits.

Details of the deal

Maker of aircraft components for nearly all commercial and military planes in service today, TransDigm’s acquisition of Jet Parts and Victor Sierra will further expand its share in the aerospace aftermarket, as both companies specialise in designing and producing replacement parts and other solutions.

Mike Lisman, TransDigm’s CEO, stated:

“We are excited to have an agreement to acquire Jet Parts Engineering and Victor Sierra, two well run, profitable businesses that will fit well within TransDigm. The Companies’ highly engineered, proprietary OEM-alternative parts and services generate nearly 100% commercial aftermarket revenue.”

In 2025, the two companies generated approximately $280 million in revenue.

Booming demand for aircraft parts

TransDigm’s expansion comes as delays in the delivery of new aircraft push airlines to extend the lives of their current fleets.

Less than one month ago, the company paid $960 million to acquire Stellant Systems, a company which draws half of its revenue from the aircraft aftermarket, Reuters reported. And in October 2025, it had completed the purchase of Simmonds Precision Products for $765 million, a manufacturer of proximity sensors whose 40% of revenue comes from the aftermarket.

Nick Howley, TransDigm’s chairman, commented on the new acquisition:

“This is a natural progression for TransDigm. We have had a long-term and sizable PMA effort within our existing operating units. Since the formation of TransDigm, we have regularly used our uniquely broad aerospace engineering and market knowledge to design and offer our aftermarket customers a range of well engineered products,” adding that “Both Jet Parts Engineering and Victor Sierra are good businesses that align well with our model.”

The deal is now pending regulatory approval in the U.S.
